Parties & Purpose

This Addendum is entered into between TAMMI REALTOR, LLC (“Administrator”), which administers the Zillow Flex program, Tech Stack, and related support services, and the individual identified at acceptance (“Agent”), a licensed real estate agent sponsored by a licensed real estate broker.

All client relationships, fiduciary duties, and license supervision remain with Agent’s sponsoring broker as required by applicable real estate license law. Administrator acts in an administrative and operational capacity only and is not Agent’s sponsoring broker.

Effective Date: The date of electronic acceptance and payment by Agent.

1
Voluntary Participation
1.1Participation in the Program and subscription to the Tech Stack are voluntary, month-to-month, and subject to approval by Administrator.
1.2Agent acknowledges that participation is optional and not a right, and may be discontinued as described in this Addendum.
1.3Program access (leads, routing, volume) is determined entirely by Zillow and is subject to Zillow’s own eligibility standards, performance metrics, and platform decisions. Administrator does not control Zillow’s lead distribution. No right to Program access, leads, or outcomes is created by this Addendum.
1.4The Tech Stack provides administrative tools that support Program participation but does not itself confer any entitlement to leads or Program benefits.
2
What Agent Receives

In exchange for the monthly fee and compliance obligations under this Addendum, Administrator provides Agent with:

  • Access to Follow Up Boss CRM, as required by Zillow Flex
  • Access to Dotloop for transaction management, as required by Zillow Flex
  • Zillow Showcase advertising placement for Agent’s active listings
  • Coordination and administrative support for Program enrollment and ongoing participation
  • Periodic performance feedback and standing updates as reasonably available

These services have independent value apart from any leads received. Agent acknowledges they are provided regardless of lead volume or Program outcomes.

3
Program Requirements

As a condition of subscription and participation, Agent agrees to:

  1. Use Follow Up Boss and Dotloop as designated, without modification, reverse engineering, or unauthorized access.
  2. Respond to and engage with assigned leads in accordance with Zillow Flex responsiveness standards.
  3. Where Program guidelines apply, introduce Zillow Home Loans as a preferred lender option while fully preserving each client’s right to choose their own lender. Agent shall not pressure any client regarding lender selection and shall comply with all applicable RESPA requirements.
  4. Comply fully with the policies of Agent’s sponsoring broker, applicable real estate license law and the rules of Agent’s licensing authority, and all applicable federal and state laws, including TCPA, RESPA, fair housing laws, and data privacy requirements.
4
Monthly Tech Stack Fee
Current Monthly Administrative Fee
$89.00 / month
  • Covers only the reasonable cost of administrative services and technology described in Section 2 — it is not payment for leads, referrals, or transaction outcomes.
  • Charged monthly in advance on a recurring basis via automatic credit card authorization.
  • Non-refundable in whole or in part, including for partial months, early termination, removal, or periods of low or no lead activity.

Administrator may adjust the Fee prospectively with at least 30 days’ prior written notice. Fee disputes must be raised in writing within 15 days of the charge.

5
Billing & Cancellation
5.1Agent authorizes Administrator to charge the Fee on a recurring monthly basis to Agent’s payment method on file.
5.2Agent may cancel at any time by submitting written notice via email to Administrator. Cancellation takes effect at the end of the then-current billing cycle. No mid-cycle proration, credits, or refunds will be issued.
5.3Upon removal of Agent from the Program for any reason, billing ceases at the close of the current cycle. No refunds will be issued for Fees already charged.
5.4If a payment fails, Administrator will notify Agent via email. If payment is not resolved within 10 calendar days, Agent may be suspended or removed from the Program.
6
Performance Standards
6.1Agent agrees to meet all Program performance requirements communicated by Administrator or Zillow, including standards for responsiveness, follow-up attempts, professionalism, and conversion.
6.2Zillow may modify its performance metrics, lead routing logic, and eligibility standards at any time. Agent agrees to make good faith efforts to comply with updated standards as communicated.
6.3Lead distribution is controlled by Zillow’s algorithms and eligibility determinations. Administrator does not guarantee any particular volume or routing outcome.

7
Probationary Period & Removal
7.1Agent’s initial participation is subject to a 90-day probationary period beginning on the enrollment date.
7.2During probation, Agent’s performance, responsiveness, compliance, and program fit will be evaluated. Agent may be removed at the discretion of Administrator or based on Zillow’s determinations. Written electronic notice will be provided. For curable issues, Agent will generally be given 5–10 business days to correct before removal, except in cases of serious misconduct.
7.3After the probationary period, removal may occur for performance concerns, compliance failures, Administrator discretion, or Zillow eligibility changes, with written notice provided under similar terms.
8
Data, Confidentiality & Non-Solicitation
8.1Client and lead data generated through the Program is the property of Agent’s sponsoring broker, as required by applicable real estate license law. Administrator may access such data solely to administer the Program. Agent shall not export, copy, transfer, or misuse Program data.
8.2Agent shall keep the operational details of the Program (lead routing, fee structures, performance metrics) confidential and shall not share them with competing brokerages or unauthorized third parties. This obligation does not limit disclosures required by law, by Agent’s licensing authority, or by Agent’s fiduciary duties to clients.
8.3Upon Agent’s departure from the Program or from Agent’s sponsoring brokerage, Agent shall immediately relinquish access to all Program tools and Tech Stack systems and return or destroy all Program materials in Agent’s possession.
8.4For 12 months following departure, Agent shall not actively solicit Program-originated clients. This restriction applies to active outreach only and does not prohibit Agent from serving clients who independently and voluntarily contact Agent after departure.
9
Post-Departure Client Protections

Applies only to residential purchase/sale transactions (excluding leases) originated through the Program and actively assigned to Agent prior to departure. For purposes of this Section, “departure” means Agent ceasing to be sponsored by the brokerage through which the client was assigned to Agent.

40%
of gross commission
Uncontracted clients at departure
closing within 12 months
50%
of gross commission
Clients under contract at departure
if Agent is no longer sponsored by that brokerage at closing
9.1Uncontracted clients: where a Program-assigned client had not entered a purchase or listing contract as of departure and closes within 12 months of departure, 40% of the gross commission is payable as described in 9.4.
9.2Contracted clients: where a Program-assigned client was under contract as of departure and Agent is no longer sponsored by the brokerage through which that client was assigned at the time of closing, 50% of the gross commission is payable as described in 9.4.
9.3These provisions protect the client relationships of the brokerage through which Program clients were assigned. They are not compensation to Administrator for leads, referrals, or transaction outcomes, and nothing in this Section entitles Administrator to any share of a real estate commission.
9.4Amounts payable under 9.1 and 9.2 are payable to the licensed brokerage through which the client was assigned to Agent, broker-to-broker, in accordance with applicable real estate license law. Agent agrees to these terms as a condition of Program participation. No separate referral agreement will be required at the time of departure, and Agent agrees to cooperate in facilitating payment through Agent’s new sponsoring broker.
9.5These provisions are not intended to restrict Agent’s right to practice real estate after departure and apply only to the specific transactions and clients described above.
10
Indemnification & Liability
10.1Agent agrees to indemnify, defend, and hold harmless Administrator from claims arising from Agent’s own misconduct, negligence, regulatory violations, or actions taken outside applicable brokerage policy.
10.2Administrator agrees to indemnify and hold harmless Agent from claims arising from Administrator’s own gross negligence or willful misconduct in administering the Program or Tech Stack.
10.3Except in cases of gross negligence or intentional misconduct, Administrator’s total liability to Agent is limited to Fees paid by Agent in the preceding 12 months. Neither party shall be liable for indirect, consequential, incidental, or punitive damages.
10.4E&O insurance covering Agent’s supervised real estate activities is maintained by Agent’s sponsoring broker. Nothing in this Addendum modifies or limits that coverage, and Administrator provides no E&O coverage.

11
Relationship to Independent Contractor Agreement

This Addendum supplements Agent’s Independent Contractor Agreement with Agent’s sponsoring broker. In the event of conflict, the ICA and the sponsoring broker’s policy control. Nothing in this Addendum alters Agent’s status as an independent contractor or modifies the obligations of Agent’s sponsoring broker under applicable real estate license law.

Direct Notice — The complaining party provides written notice of the dispute. The other party has 10 business days to respond and attempt informal resolution.
  2. 2
Mediation — If informal resolution fails, the parties agree to non-binding mediation before filing any legal action. Costs split equally.
  3. 3
Litigation — If mediation does not resolve the dispute, either party may pursue legal remedies exclusively in a court of competent jurisdiction in Collin County, Texas.

This Addendum is governed exclusively by the laws of the State of Texas, without regard to conflicts of law principles.
